These Standard Terms and Conditions, together with the details of the subscription service purchased on beelocalmarketing.com (collectively, the “Agreement”) govern the terms under which Bee Local Marketing LLC (Agency) may manage marketing initiatives and campaigns for the subscribing party (Client). This Agreement shall be governed and construed in accordance with the laws of the State of Connecticut.
Services Rendered: Agency agrees to use best efforts to fulfill and exceed Client’s expectation on the deliverables listed in the subscription service details. Client agrees to aid Agency in doing so by making necessary information pertaining to Client’s business available to Agency, and to cooperate with Agency in expediting the work. Agency is not liable to Client or any third-party for damages, including lost profits, lost savings or other incidental, consequential,
or special damages, due to errors in marketing materials. Agency cannot provide performance guarantees on any marketing initiatives. Requests above and beyond those listed in the proposal may be considered out-of-scope and an amendment to the budget will be recommended.
Terms of Payment:
Billing Schedule: Client’s credit card, that was used to subscribe to the service detailed on beelocalmarketing.com, will be billed monthly, on the date of signup via an automated website transaction. Purchase orders are not accepted.
Client Agreement to Pay: Agency subscription services are billed immediately to cover agency services and paid media expenditures made on the Client’s behalf. In the event that automated payments are disrupted, by way of credit card decline or expiration or any other reason related to the Client end of billing, Agency may charge a late payment fee of up to 2% per month on any overdue and unpaid balance not in dispute, to cover the manpower, interest, and other costs Agency pays for carrying overdue invoices from Client. The client is responsible for maintaining current, active credit card details on beelocalmarketing.com to ensure recurring billing. In addition, Agency reserves the right to stop work until payment is received.
Collection Costs: If Agency incurs legal fees, costs and disbursements in an effort to collect Agency invoices or disrupted recurring billing, in addition to interest on the unpaid balance, Client agrees to reimburse Agency for these expenses.
Cancellation of Plans: Client has the right to modify, reject, cancel or stop any and all plans or work in process. However, Client agrees to reimburse Agency for all reasonable costs and expenses incurred by Agency prior to Client’s change in instructions, and which relate to non-cancelable commitments, and to defend, indemnify and hold Agency harmless for any liability relating to such action. Agency agrees to use best efforts to minimize such costs and expenses.
Payment for Non-Cancelable Materials: Any non-cancelable materials, services, etc., Agency has properly committed to purchase for Client’s account, (either specifically or as part of a plan such as modules, photography and/or external services) shall be paid for by Client, in accordance with the provisions of this Agreement. Agency agrees to use its best efforts to minimize such liabilities immediately upon written notification from Client. Agency provides written proof, upon request of Client, that any such materials and services, are non-cancelable.
Warranties and Guarantees: No Warranties, Guarantees or performance Guarantees given, intended or implied.
Confidentiality: Agency acknowledges its responsibility, both during and after the term of its appointment, to use all reasonable efforts to preserve the confidentiality of any proprietary or confidential information or data developed by Agency on behalf of Client or disclosed by Client to Agency.
Intellectual Property: All work product produced by the Agency, specific to the scope of this agreement, and relating to Client shall be the exclusive property of Client.
Term and Termination: The term of this agreement shall be considered month-to-month and either party can cancel at any time with written notice to the Client’s primary contact details as submitted along with the subscription purchase on beelocalmarketing.com and to [email protected] , with the term beginning upon client execution (transaction date of the online subscription purchase). There is No-Fault Termination. In the event a subscription service is cancelled, all duties and services, as detailed on the corresponding service page at beelocalmarketing.com, shall be completed through the end of that calendar month.
Refunds: Refunds shall not be given at any time for any reason. A portion of this subscription service fees cover Agency expenditures on various platforms which cannot be recovered. Neither the platform fees, nor the Agency fees or setup fees or any other fees associated with the subscription purchase are eligible for any refund.
Indemnification: Agency shall indemnify the Client and hold it harmless against any and all losses, claims, damages, liabilities and expenses incurred by the Client, including without limitation, reasonable legal expenses, arising from, related to, or in any way connected with (i) Agency’s material breach of or failure to comply with any of its agreements, covenants, representations or warranties contained in this Agreement and (ii) the fraud, negligence (including omissions) or willful misconduct of Agency, its officers, directors, employees, agents or representatives.
